1. Overview
These Terms of Service (“Terms”) govern your use of SheetAudit (“the Service”), operated by Yod Solutions Pty Ltd (ABN 672 231 515). By creating an account, accessing, or using SheetAudit in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility
To use SheetAudit, you must:
- Be at least 18 years old.
- Have the legal capacity to enter into a binding agreement.
- Provide accurate and complete registration information.
- Comply with all applicable laws and regulations.
You are responsible for ensuring that your use of the Service complies with your organisation’s data and security policies.
3. Accounts
When you create an account:
- You must provide a valid email address and a secure password.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You agree to notify us immediately if you suspect unauthorised access or use.
We reserve the right to suspend or terminate accounts that breach these Terms or that are used in a way that may harm the Service or other users.
4. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, disassemble, modify, or attempt to derive the source code of the SheetAudit audit worker or any part of the Service.
- Circumvent, bypass, or attempt to bypass audit quotas, authorization checks, or access controls.
- Run audits programmatically or automate use of the Service beyond what is explicitly supported by the user interface.
- Copy, redistribute, or repackage the audit worker or other code for use in another product or service.
- Resell, sublicense, or white-label the Service without our prior written consent.
- Upload or attempt to upload malicious files, exploit vulnerabilities, or interfere with the Service’s operation.
- Use the Service in any way that violates applicable law or infringes the rights of others.
We reserve the right to determine, in our sole discretion, whether your use violates these Terms.
5. Local-First Processing and AI Metadata
- Spreadsheet auditing is performed locally in your browser.
- Spreadsheet cell contents are not uploaded to our servers as part of the audit process.
- When you enable AI summaries, we send only structured metadata about findings (such as issue types, severity, and ranges) to our AI provider(s), not raw cell contents.
- You remain responsible for the content of any files you work with in SheetAudit, and for complying with your own internal and regulatory requirements.
6. Subscriptions, Billing, and Payments
6.1 Free Tier
We offer a free tier which currently includes:
- 3 full workbook audits.
- 3 AI summaries.
- Access to the sample workbook preview.
We may modify free tier limits or features at any time.
6.2 Paid Plans
Paid plans (“Pro” or similar) are billed via Stripe as recurring subscriptions. By subscribing:
- You authorise us and Stripe to charge your payment method on a recurring basis.
- Subscription fees are charged in advance for each billing period.
- Prices and plan limits may be changed with reasonable notice.
6.3 Cancellations and Refunds
- You may cancel your subscription at any time via the account or billing settings (or by contacting support).
- When you cancel, you will retain access to the paid features until the end of your current billing period.
- No refunds are provided once a billing cycle has begun, except where required by law.
- If a payment fails or your subscription expires, your account may be downgraded to the free tier.
7. Intellectual Property
SheetAudit, including but not limited to the website, app UI, audit logic, audit worker, branding, and related documentation, is the intellectual property of Yod Solutions Pty Ltd. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own internal purposes, subject to these Terms. You may not:
- Copy, modify, distribute, sell, or lease any part of the Service.
- Reverse engineer or attempt to extract source code from the audit worker or related components, except to the extent such restrictions are prohibited by law.
8. Service Availability and Changes
We aim to provide a reliable service but do not guarantee:
- Uninterrupted or error-free operation.
- That all spreadsheet issues will be detected or that findings will be complete or perfectly accurate.
We may:
- Modify, suspend, or discontinue any part of the Service at any time.
- Add or remove features.
- Introduce limits on usage or storage as needed.
If we make material changes, we will use reasonable efforts to notify you (e.g. in-app or via email).
9. Disclaimers
To the fullest extent allowed by law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
- We do not warrant that the Service will meet your requirements, be error-free, or detect every issue in your spreadsheets.
- Spreadsheet findings and AI summaries are for informational purposes only and should not be treated as financial, legal, or professional advice.
- You are solely responsible for how you use findings and any decisions made based on them.
10. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total aggregate liability arising out of or relating to the Service shall not exceed the amount you have paid for the Service in the three (3) months preceding the event giving rise to the claim.
- Nothing in these Terms limits any rights you may have under consumer protection laws that cannot be waived.
11. Termination
We may suspend or terminate your access to the Service, with or without notice, if:
- You violate these Terms.
- Your use poses a security or operational risk.
- We are required to do so by law or by a third-party provider (e.g. Stripe, Cloudflare).
You may terminate your account at any time by contacting us at support@sheetaudit.com.
Upon termination:
- Your right to use the Service will cease.
- We may delete or anonymize your account data in accordance with our Privacy Policy.
12. Governing Law
These Terms are governed by the laws of Victoria, Australia, without regard to conflict of laws principles. Any disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. If changes are material, we may provide additional notice (e.g. via email or in-app). Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
